Provider, acceptance and order of precedence
Food Coach is the consultancy practice of KD Alliance, a partnership firm, at Plot No. 16, G.T. Road, Part-1, Sector 29, HUDA, Panipat, Haryana 132103, India. GSTIN: 06ABCFK7864M1ZR. Contact: info@foodcoach.in; +91 98964 44440. These Service Terms apply only when expressly incorporated into and accepted with a written quotation, proposal or engagement. The accepted scope, fee schedule and specific written amendments take priority over a conflicting general provision. Applicable mandatory law always prevails. An enquiry alone is not acceptance. Do not rely solely on a website footer to record a client’s agreement.
Scope and deliverables
The engagement must identify the products or SKUs, destination markets, services, input documents, outputs, formats, included revision rounds, milestones, fees and any exclusions. Regulatory submissions, importer arrangements, translations, laboratory testing, third-party certificates, physical printing and ongoing monitoring are included only if expressly listed. A change to the product, recipe, market or brief may require a revised written scope, fee and timetable.
Professional standard and regulatory decisions
We will perform the agreed work with reasonable skill and care using the information and requirements relevant to the specified scope and review date. We do not guarantee approval, certification, registration, customs clearance, acceptance by a buyer, uninterrupted market access or sales. Those decisions are made by independent parties. We are not a substitute for legal advice, accredited testing or a required licensed representative.
Information and responsibilities of the client
You must provide accurate, complete and current recipes, ingredient specifications, compound-ingredient breakdowns, allergen and cross-contact information, processing details, yields, serving sizes, laboratory reports, claims, business identities and destination requirements relevant to the scope. Identify uncertainties and changes promptly. You confirm you may lawfully share and use the information. We may ask questions or identify apparent gaps; our review is not independent verification of every statement supplied by you or your suppliers.
Nutrition calculations and laboratory testing
Calculated nutrition values depend on recipe data, database matches, yields and assumptions; they are not a chemical analysis of the finished product. Product variability, processing, fermentation and other factors may make testing necessary. Where a destination requires laboratory evidence, or calculation is unsuitable, the client must obtain appropriate testing. We will not present calculated figures as accredited laboratory results. The quotation must state whether testing, sample handling or interpretation of third-party reports is included.
Drafts, revisions and final approval
Drafts must not be used as final approved artwork. Review names, values, translations, allergens, claims, dimensions, barcodes, importer details and other content before authorising use. Report an apparent error promptly and give us a reasonable opportunity to investigate and correct work within the agreed scope. This does not remove our reasonable-care obligation or limit statutory rights. Corrections to our work are distinguished from changes to your brief or input data. Printer proofs, print quality and changes made by third parties require separate approval.
Review date and subsequent changes
A deliverable addresses the products, markets and material reviewed at the stated date. Later legal changes, recipe changes, supplier changes or artwork edits may require a new review. Ongoing surveillance, updates and renewal reminders are not included unless agreed. We will identify material assumptions or unresolved issues within the agreed review; a client should not treat an unresolved draft as clearance to proceed.
Fees, taxes and third-party costs
Fees, currency, applicable taxes, advance payments and milestones must be stated in the accepted quotation or invoice. No interest, penalty, automatic renewal or extra fee applies unless expressly agreed and lawful. Government fees, laboratories, certification bodies, couriers, translators and other external costs must be identified and authorised where relevant. We may pause new work for overdue agreed payments after notice, subject to applicable law and the engagement.
Cancellation and refunds
The separate Cancellation & Refund Policy forms part of the engagement when expressly incorporated. Service fees are not refundable after the agreed work starts, except where a refund is required by law or Food Coach cannot deliver the agreed service. This is not a right to charge for services outside the scope, retain a duplicate payment or avoid responsibility for a failure to deliver. Record commencement and any permitted third-party commitments in writing.
Confidentiality
Each party must protect the other’s non-public recipes, specifications, pricing and business information and use it only for the engagement. Access should be limited to people and approved providers who need it and are bound by appropriate confidentiality obligations. Exceptions cover information already lawfully known, public without breach, independently developed or lawfully obtained elsewhere. Legally required disclosure is permitted, with notice where lawful. Neither party may publish confidential recipes or detailed case studies without permission. Trade secrets remain protected while they qualify as such; other agreed retention and confidentiality periods must be recorded in the engagement.
Ownership and permitted use
You retain ownership of materials you supply. KD Alliance retains its pre-existing templates, methods, tools and know-how; third-party content remains with its owner. After the agreed fees are paid, you receive a non-exclusive right to use the final paid deliverables for the products, markets and purposes in the engagement, including sharing with your printer, buyer or relevant authority as required for that purpose. Drafts are excluded. Transfer of editable source files, exclusive rights, resale, sublicensing or use for other products requires express agreement. No licence permits misuse of another party’s intellectual property.
Third parties, samples and personal data
Independent laboratories, regulators, certification bodies, couriers and printers control their own services and decisions. We remain responsible for our own agreed coordination and reasonable-care duties; this clause does not excuse our own negligence. Do not dispatch samples or products to us without prior written acceptance and agreed handling instructions. Personal data must be limited to what the engagement needs and handled under the Privacy Policy and any agreed processing terms. Food Coach does not provide physical printing or shipment unless specifically agreed.
Liability and correction
Subject to mandatory law, neither party is liable to the other for indirect, special or consequential loss arising from the engagement, including lost profits, loss of opportunity, business interruption or loss of goodwill. Reprinting, recall, detention, rejected goods and regulatory penalties are not automatically reimbursable; any liability depends on the agreed scope, causation, applicable law and the limits in this clause. Where legally permitted, KD Alliance’s total aggregate liability for a paid engagement is limited to the total fees paid or payable to KD Alliance for the particular written engagement giving rise to the claim, excluding pass-through government and third-party charges. Nothing excludes or limits fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability or statutory remedy that cannot lawfully be excluded or limited. Correction, re-performance or refund must be assessed under the engagement and applicable law.
Third-party claims and indemnity
To the extent permitted by law, the client will reimburse KD Alliance for reasonable losses and costs from third-party claims to the extent caused by the client’s material breach, infringement by client-supplied material, knowingly false information or unlawful products or conduct. This does not cover loss caused by KD Alliance’s own negligence, breach, fraud or wilful misconduct. We must notify the client promptly, take reasonable steps to mitigate loss and allow reasonable involvement in the defence. No settlement imposing an admission or obligation on the client may be made without its consent, not to be unreasonably withheld.
Delay, suspension and termination
Schedules depend on agreed inputs, approvals and independent authorities. Notify the other party promptly of delays and agree a revised plan. Neither party is responsible for a delay genuinely outside reasonable control to the extent lawful, but must mitigate its effects; this does not remove mandatory refund rights. Either party may end an engagement for a material breach not remedied within a reasonable period after written notice, or immediately where continued performance would be unlawful. Settle completed work, agreed costs, deliverables and refunds under the engagement, the refund policy and applicable law. Confidentiality, accrued payment rights, permitted use, liability and dispute provisions survive as appropriate.
Law and disputes
Indian law governs the engagement, subject to mandatory protections that apply. Raise a complaint at info@foodcoach.in with the quotation reference and supporting material. The parties should try in good faith to resolve it; urgent relief and statutory remedies remain available without waiting. Courts at Panipat, Haryana have jurisdiction only insofar as competent and lawfully agreed. There is no automatic arbitration clause, class-action waiver or shortened claim period in these terms. A different dispute arrangement requires separate, lawful written agreement.
